DORA ICT third-party contract requirements: a negotiation checklist

For regulated financial entities, an ICT third-party agreement can connect security, audit, sub-outsourcing, incident and exit terms. The operational task is to route those linked positions to the right risk owner and retain the evidence behind each decision.

Why contract review needs to be package-aware

A vendor can offer a concession in one term while narrowing a connected protection elsewhere. A contractual review workflow should assess the relevant connected positions together—such as audit access, security assurance, subcontracting and incident support—rather than treating each clause as a separate approval.

What a governed negotiation workflow can evidence

For the scope a customer defines, DataHalt can retain the source version, vendor counterproposal, redline, applicable authority rule, evidence record, decision owner, approval, communication event and resulting contract version. That creates an inspectable record of how a recurring vendor data-risk term was handled.

Higher-risk, prohibited or unsupported positions can be configured to stop and route to Legal, Privacy, Security or Third-Party Risk. A controlled send remains subject to valid authority at the time of the external action.

A practical pilot boundary

Start with ordinary recurring vendor DPAs and connected security schedules where the customer has a mature policy and clear decision rights. Keep material or critical arrangements, unusual structures and terms outside the agreed authority boundary under human review.

A pilot should validate the customer’s actual clauses, evidence sources, mailbox and system-of-record workflow before any expansion in delegated execution.
